Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and meetschat (“meetschat,” “we,” “our,” or “us”) and govern your access to and use of our website, applications, and related services (together, the “Service”). Please read them carefully. By creating a room, joining a room, or otherwise using the Service you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction (whichever is greater), to use the Service. By using the Service you represent and warrant that you meet this requirement, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Service under any applicable law. We may terminate your access at any time if we have a reasonable belief that you do not meet this requirement.
2. The Service
meetschat is a real-time, interactive video service for streamers and their audiences. A host runs a 1:1 on-stage call and can pull one viewer onto the stage at a time. While they wait, viewers mingle with one another in small group “breakout” rooms. Audio and video are delivered in real time through our third-party media provider. Per-participant audio may be recorded as described in Section 5 and in our Privacy Policy.
3. Your Account
Depending on the room you join, you can authenticate using your Twitch account or as a guest by choosing a display name. You are responsible for the activity that occurs under your account, for keeping any owner tokens or session credentials secret, and for notifying us promptly of any unauthorized access. We may suspend or terminate your account at any time, with or without notice, for any reason, including a violation of these Terms.
Owner tokens are issued once when you create a room and are stored locally in your browser. If you lose access to the device or browser that holds the token, you may permanently lose host access to that room. We cannot recover lost owner tokens.
4. Acceptable Use
You agree not to use the Service to do, attempt to do, or facilitate any of the following:
- Violate any applicable law, regulation, or third-party right, including intellectual-property, privacy, and publicity rights;
- Harass, threaten, stalk, defame, intimidate, or incite violence against any person;
- Engage in or promote child sexual abuse material, sexual content involving minors, or content that sexualizes minors in any way;
- Engage in non-consensual sexual content, sexual harassment, or exposure of genitalia in calls;
- Engage in or promote terrorism, violent extremism, organized violence, self-harm, or suicide;
- Engage in fraud, scams, phishing, deceptive impersonation, or the unauthorized sale or solicitation of regulated goods or services;
- Post or transmit content that infringes another person’s intellectual-property rights, including unlicensed broadcasts of copyrighted material;
- Use any automated system (bots, scrapers, headless browsers) to access, query, or interact with the Service except as expressly permitted by us in writing;
- Probe, scan, or test the vulnerability of the Service, breach security or authentication measures, or interfere with the Service’s normal operation;
- Reverse engineer, decompile, or attempt to derive the source code of the Service except where permitted by law;
- Record, store, or republish other users’ audio, video, or likeness outside of the Service without their permission, or rebroadcast a host’s stream in violation of that host’s instructions;
- Evade a ban, block, isolation, or other enforcement action, including by creating new accounts or using alternate identities;
- Misrepresent yourself, impersonate another person, or falsely imply affiliation with any individual, brand, or organization.
We may, but are not obligated to, monitor activity on the Service. We may remove content, suspend or terminate accounts, isolate users (a form of shadowban that limits their ability to be matched), and take any other action we deem appropriate to enforce these Terms or to protect the Service and its users.
5. Recording and Consent
The Service records sessions. Where recording is enabled, every participant in every call — both on-stage calls and breakout calls, on every side of the call — has their microphone audio recorded for the duration of their participation. Recordings are stored in our private cloud storage and may be used to keep the Service safe (moderation, abuse investigation, evidence in response to reports) and to operate, improve, train, and develop the Service, including machine-learning models. Video is not recorded.
By tapping “Continue” on the recording-consent prompt and by joining a call, you affirmatively consent to this recording. Where you are physically located in a jurisdiction that requires the consent of every party to a call before it may be recorded (a “two-party” or “all-party” consent jurisdiction), you further represent that everyone speaking through your device’s microphone has been informed of and consents to the recording. If you do not consent, do not join a call.
You can request deletion of recordings tied to you by emailing us at hello@meetschat.com. We may retain recordings as needed to comply with our legal obligations, resolve disputes, or enforce these Terms.
6. User Content
“User Content” means any content you transmit through the Service, including your display name, profile picture, live audio and video, recordings of your audio, messages, likes, reports, and any other materials you submit. As between you and meetschat, you retain ownership of your User Content.
You grant meetschat a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for example, to transcode or to redact for safety review), create derivative works from, distribute, publicly display, publicly perform, and otherwise use your User Content in connection with operating, providing, improving, and developing the Service, and for the purposes described in our Privacy Policy, including training the artificial-intelligence and machine-learning models we use to support the Service. This license survives the termination of your account with respect to copies of User Content that have already been incorporated into our systems, backups, or models.
You represent and warrant that (a) you own or have the necessary rights to your User Content; (b) your User Content and our use of it under this license do not and will not infringe or otherwise violate any third-party right, including intellectual-property, privacy, or publicity rights, or any applicable law; and (c) you have obtained any required consents (including all-party recording consents) from people captured in your User Content.
7. Hosts: Additional Responsibilities
If you create a room and act as a host, you are responsible for the conduct of your call, for moderating the participants you bring on stage, and for complying with the terms of any streaming platform on which you rebroadcast the call (such as Twitch, Kick, or YouTube). You agree that you will not use the Service to violate the terms of any third-party streaming platform, and you accept sole responsibility for any consequences that arise from your broadcast. You may block individual viewers from your room at any time.
8. Reports, Moderation, and Termination
You may report another participant for misconduct using the in-product report controls. We review reports, may consult related session recordings, and may take enforcement action, including warnings, isolation, account suspension, or permanent bans. We may also remove content or terminate accounts at any time, with or without notice, for any reason.
9. Third-Party Services and Streaming Platforms
The Service relies on third-party providers (including LiveKit for real-time media, Amazon Web Services for storage, Vercel for hosting and analytics, and Twitch for authentication). Your use of the Service is also subject to the terms and policies of those providers where applicable. meetschat is not affiliated with, sponsored by, or endorsed by Twitch, Kick, YouTube, or any other streaming platform.
10. Intellectual Property
The Service, including all software, designs, text, graphics, and other content (excluding User Content), is owned by meetschat or our licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non- sublicensable license to access and use the Service for its intended purposes. All rights not expressly granted are reserved.
11. Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant meetschat a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without compensation or attribution.
12. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that recordings, messages, or other content will be preserved without loss. You use the Service at your own risk and are solely responsible for your interactions with other users.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MEETSCHAT, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). The foregoing limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and apply to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless meetschat, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
15. Termination
You may stop using the Service at any time. We may suspend or terminate your access to all or part of the Service, with or without notice, for any reason. Sections of these Terms that by their nature should survive termination (including Sections 5, 6, and 10 through 18) will survive.
16. Changes to the Service or the Terms
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. If the changes are material, we will notify you through the Service or by other reasonable means. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You and meetschat agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. If you access the Service from outside the United States, you do so on your own initiative and are responsible for complying with local law.
18. Miscellaneous
These Terms and the documents they reference constitute the entire agreement between you and meetschat concerning the Service and supersede any prior agreements on the same subject. Our failure to enforce any provision is not a waiver of that provision. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. There are no third-party beneficiaries to these Terms.
